Disclosure Policy

This page explains in detail TDK's disclosure policies concerning access to its Web site.

1.Disclosure Standards

TDK makes disclosures in accordance with the timely disclosure regulations adopted by the Tokyo Stock Exchange. TDK shall make timely disclosures in the event of an incident that may have a material impact on decisions concerning investments in marketable securities such as information concerning corporate decisions, occurrences affecting the company, and financial results. TDK shall also make timely disclosures in the event of an inquiry from the Tokyo Stock Exchange or in the event of material change in, or cessation of, significant corporate information disclosed previously. TDK will actively and fairly disclose information in response to requests from investors concerning information that does not fall within the scope of the timely disclosure regulations such as the content of briefings.

2.Methods of Disclosure

Information that falls within the scope of the timely disclosure regulations shall, in accordance with the provisions of those regulations, be made publicly available on the Timely Disclosure Network (TDnet) provided by the Tokyo Stock Exchange. Information that is disclosed publicly will be made immediately available on TDK's Web site. Information that does not fall within the scope of the timely disclosure regulations will also be provided to general investors in light of the objectives of the timely disclosure regulations using an appropriate method in an accurate and fair manner.

3.Forward Looking Statements

In addition to the forecasts of business performance provided to stock exchanges on which TDK shares are traded, TDK also provides information concerning forecasts of business performance by other means. In addition, news releases, documents issued by TDK, content posted on the TDK Web site, responses to questions posed at financial and analyst briefings, and other information may include future plans, forecasts, and strategies. Such information is the result of reasonable conclusions made by TDK management based on information available at the time it was prepared and therefore necessarily involves risk and some degree of uncertainty.

4.Positioning of the TDK Web Site

The TDK Web site is posted on the Internet and is available to all persons who wish to access TDK information. In order to make fair information disclosures, information that is made publicly available is posted on the Web site as soon as possible thereafter, but posting of information may be delayed because of telecommunications or other problems, and therefore, the Web site is positioned solely as a secondary information source.
In addition, not all information disclosed by TDK is posted on the Web site. Information made available by other means may be modified to an easier to understand format for posting on the Web site. When accessing information on the TDK Web site, please keep these points in mind.

5.IR Silent Periods

In order to prevent leaks of material corporate information and to ensure fairness, TDK established IR silent periods that as a general rule last from the day after the close of each fiscal quarter until the announcement of financial results for that quarter. During the silent period, TDK will not disclose any financial information, comment on financial results, or respond to related questions. This does not apply, however, to inquiries concerning information that was previously disclosed.
